Oracle filed registration documents with the Securities and Exchange Commission on Monday to issue $10 billion in common stock and $10 billion in senior notes. The company stated that the capital will be used for general corporate purposes, including capital expenditures, debt repayments, and future investments.

Chief Financial Officer Hilary Maxson previously told investors that "I’ve told you we need an additional up to US$20-billion in funding for the remainder of our fiscal 2027" as the final tranche for this spending cycle. The filing establishes a $20 billion capital ceiling announced in Las Vegas, excluding debt refinancing, after Oracle recorded negative free cash flow of $23.7 billion in fiscal 2026.

Balance Sheet and Capital Outlays

Oracle held $125.34 billion in total debt against $36.37 billion in cash reserves ahead of the offering. The company projected capital expenditures between $90 billion and $95 billion for the current fiscal year, while forecasting free cash flow will turn positive in the second half of fiscal 2028.
